1. Acceptance of Terms

By accessing or using Writesy ("Service"), operated by Writesy ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you must not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent and warrant that you are at least 18 years of age (or 13 years with parental consent where permitted by applicable law) and have the legal capacity to enter into a binding agreement.

PLEASE READ THESE TERMS CAREFULLY. By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the arbitration agreement and class action waiver in Section 14.

2. Account Terms

2.1 Account Creation

To use certain features of the Service, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) maintain the security of your account credentials; and (d) accept responsibility for all activities that occur under your account.

2.2 Account Security

You are solely responsible for safeguarding the password and any other credentials used to access the Service. You agree not to disclose your password to any third party and to notify us immediately at hello@writesy.ai upon becoming aware of any breach of security or unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

2.3 Account Restrictions

You may not: (a) create multiple accounts to circumvent restrictions or abuse promotions; (b) share your account credentials with others; (c) sell, transfer, or sublicense your account; or (d) use automated systems to create accounts.

3. Subscription and Payment Terms

3.1 Payment Processing

All payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. Paddle is responsible for all checkout, payment processing, billing, and tax compliance. By making a purchase, you also agree to Paddle's Terms of Service and Privacy Policy.

3.2 Subscription Plans

The Service offers various subscription plans with different features and credit allocations. Plan details, pricing, and features are displayed on our pricing page and may be modified with reasonable notice. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan).

3.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You authorize us (through Paddle) to charge your payment method on each renewal date. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

3.4 Price Changes

We reserve the right to modify pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing period after the notice. If you do not agree to the price change, you may cancel your subscription before the renewal date.

4. Credit System

4.1 Credit Usage

Writesy operates on a credit-based system. Credits are consumed when you use AI-powered features. Credit costs vary by feature and are displayed before each operation. We use a "gas station" model: credits are reserved before operations begin and refunded if the operation fails.

4.2 Subscription Credits

Subscription plans include a monthly credit allocation. Unused subscription credits do not roll over and expire at the end of each billing period. We consume credits using FIFO (first-in-first-out): oldest credits are used first.

4.3 Credit Packs

Additional credits may be purchased as credit packs. Purchased credits expire 12 months from the date of purchase. Expired credits cannot be recovered, transferred, or refunded.

4.4 No Monetary Value

Credits have no monetary value outside the Service and cannot be exchanged for cash, transferred to other users, or redeemed for any form of compensation.

5. Refunds and Cancellation

5.1 Refund Policy

Refunds are available within 7 days of your initial paid subscription purchase, provided you have used less than 30% of your allocated credits. Refund requests are processed by Paddle. For complete details, please see our Refund Policy.

5.2 Non-Refundable Items

The following are non-refundable: (a) subscription renewals (cancel before renewal to avoid charges); (b) credit pack purchases; (c) subscriptions where more than 30% of credits have been used; (d) requests made after the 7-day refund window.

5.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access to paid features until the end of your current billing period. After that, your account reverts to the Free tier. We do not provide prorated refunds for partial billing periods.

6. Content Ownership and Rights

6.1 Your Content

You retain all ownership rights to content you create using the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and display Your Content solely to provide and improve the Service. This license terminates when you delete Your Content or your account.

6.2 AI-Generated Content

Content generated using our AI features ("Generated Content") is owned by you, subject to the following: (a) we make no representation that Generated Content is unique or original; (b) similar content may be generated for other users; (c) you are solely responsible for reviewing Generated Content before use or publication.

6.3 Our Intellectual Property

The Service, including its original content, features, functionality, design, code, algorithms, and branding (excluding Your Content), is and remains the exclusive property of Writesy. The Service is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

6.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property. We may use such feedback without restriction or compensation to you.

7. AI-Generated Content Disclaimer

THE SERVICE USES ARTIFICIAL INTELLIGENCE TO GENERATE CONTENT. YOU ACKNOWLEDGE AND AGREE THAT:

  • AI-generated content may contain errors, inaccuracies, factual mistakes, or unintended outputs
  • We do not guarantee that generated content will be accurate, complete, reliable, or suitable for any particular purpose
  • Generated content may inadvertently resemble existing works; you are responsible for ensuring content does not infringe third-party rights
  • You must review and edit all generated content before use or publication
  • We are not liable for any damages arising from your use of or reliance on AI-generated content
  • AI models and capabilities may change, affecting the quality or characteristics of generated content

8. Acceptable Use Policy

You agree not to use the Service to:

  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Generate content promoting hate speech, violence, discrimination, or terrorism
  • Create content that sexualizes minors or depicts child exploitation
  • Impersonate any person or entity or misrepresent your affiliation
  • Generate spam, unsolicited advertising, phishing content, or misleading information
  • Create malware, viruses, or harmful code
  • Violate any applicable laws, regulations, or third-party rights
  • Infringe upon intellectual property rights, privacy rights, or publicity rights of others
  • Attempt to bypass rate limits, credit systems, security measures, or access controls
  • Use automated tools, bots, or scripts to abuse the Service
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Resell, sublicense, or commercially exploit the Service without authorization

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending accounts, and reporting violations to law enforcement.

9. Third-Party Services

The Service integrates with third-party services to provide functionality:

  • Paddle - Payment processing and Merchant of Record
  • Supabase - Database, authentication, and real-time services
  • OpenRouter / Google - AI language model providers
  • Vercel - Hosting infrastructure
  • Inngest - Background job processing
  • Unsplash / Pexels - Stock photo providers

Your use of the Service may also be subject to the terms and privacy policies of these third-party providers. We are not responsible for the practices of third-party services.

10. Service Availability and Modifications

We strive to provide continuous access to the Service but do not guarantee uninterrupted availability. The Service may be subject to maintenance, updates, or outages.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also modify features, credit costs, and functionality. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) defects will be corrected; (c) the Service is free of viruses or harmful components; (d) the results obtained from using the Service will be accurate or reliable.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • WRITESY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • WRITESY SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100)

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Writesy, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your Content or Generated Content
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable law or regulation

14. Dispute Resolution and Arbitration

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English and take place in Delaware or remotely via video conference.

14.3 Class Action Waiver

YOU AND WRITESY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

14.4 Small Claims Exception

Notwithstanding the above, you may bring claims in your local small claims court if your claims qualify and remain in such court.

14.5 Opt-Out

You may opt out of the arbitration agreement by sending written notice to hello@writesy.ai within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting hello@writesy.ai or using the account deletion feature. Upon termination, your data may be deleted and unused credits will be forfeited.

15.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you: (a) violate these Terms; (b) engage in fraudulent or abusive activity; (c) fail to pay applicable fees; or (d) for any other reason at our sole discretion. We will attempt to provide notice before termination when practical, but are not required to do so.

15.3 Effect of Termination

Upon termination: (a) your right to use the Service immediately ceases; (b) we may delete your account and data; (c) unused credits are forfeited; (d) sections of these Terms that by their nature should survive (including ownership, disclaimers, limitations of liability, and dispute resolution) shall survive.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Writesy regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may freely assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, or infrastructure failures.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by: (a) posting the new Terms on this page; (b) updating the "Last updated" date; and (c) for significant changes, sending an email notification or displaying an in-app notice.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
